Terms of Service

1. Agreement to Terms

By accessing or using Dealyo ("the Service"), operated by Howcan, Inc., you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. The Service is offered subject to your acceptance without modification of all of the terms and conditions contained herein.

2. Service Description

Dealyo is an AI-powered deal management platform that helps professionals organize and analyze deal-related communications. Our Service includes:

  • Email integration (Gmail and Microsoft Outlook) for deal discovery and organization
  • AI-powered email analysis, categorization, and insight generation
  • Deal room creation and multi-user collaboration
  • Document organization, folder management, and OCR processing
  • Task extraction, tracking, and assignment
  • Participant intelligence and engagement tracking
  • Calendar event management and deal timeline tracking
  • Deal reminder notifications

We reserve the right to withdraw or amend our Service, and any service or material we provide, in our sole discretion without notice.

3. Account Responsibilities

When you create an account with us, you authenticate via Google or Microsoft OAuth. You are responsible for:

  • Maintaining the security of your Google or Microsoft account used for authentication
  • Restricting access to your devices and accounts
  • All activities that occur under your account
  • Ensuring your use complies with all applicable laws and regulations

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Email Integration and Data Usage

Email Access

By connecting your email account (Gmail or Microsoft Outlook) to Dealyo, you grant us permission to:

  • Read your email messages, metadata, and attachments to identify deal-related communications
  • Analyze email content using AI to generate insights, summaries, and task suggestions
  • Extract and organize information from emails and documents
  • Store email data securely on our servers for ongoing deal management

Email Sending

With your connected email account, Dealyo may send emails on your behalf in the following specific scenarios, each requiring your explicit action:

  • Calendar invitations: When you create or update deal calendar events, invitations are sent from your email address to the participants you specify
  • Deal reminders: When you configure deal reminders, notifications are sent from your email address to the recipients you designate

We will never send emails without your explicit initiation. We will never delete or modify your existing emails. We do not send marketing emails, automated follow-ups, or bulk communications through your email account. If sending via your email account fails, the Service may fall back to sending the notification from our transactional email system instead.

Revoking Access

You may disconnect your email account at any time through your account settings. When you disconnect, we revoke the OAuth token with your email provider and permanently delete it from our encrypted vault. Your existing deal data is retained unless you delete your account.

5. AI-Powered Features

Our Service uses artificial intelligence (via OpenAI and Anthropic) to analyze and process your data. While we strive for accuracy, AI-generated insights, summaries, and suggestions:

  • May contain errors or inaccuracies
  • Should be reviewed and verified before making business decisions
  • Are provided as-is without warranties of any kind
  • Do not constitute professional, legal, or financial advice

Email content is anonymized (personally identifiable information replaced with reversible tokens) before being sent to AI providers. For certain features such as document term extraction, original content may be sent when the content itself is the subject of analysis.

You acknowledge that you are solely responsible for decisions made based on AI-generated content and should exercise independent judgment in all business matters.

6. Deal Rooms and Collaboration

Dealyo allows you to invite other users to collaborate on deals. When you invite a member to a deal room:

  • Owner role: Full access to all deal data, emails, documents, and settings
  • Viewer role: Read-only access to deal data based on visibility settings you configure

As the deal owner, you are responsible for managing access permissions and ensuring that shared deal information is appropriate for the members you invite.

7. Account Deletion

You may delete your account at any time through your account settings. Account deletion is immediate, permanent, and irreversible. When you delete your account:

  • All your deals, emails, documents, tasks, insights, and participants are permanently deleted
  • All uploaded files are removed from storage
  • All search index data (vector embeddings) is deleted
  • Your email OAuth tokens are revoked and deleted from our encrypted vault
  • All active sessions are terminated
  • Your authentication record is permanently removed

Once deleted, your data cannot be recovered. If you are the owner of deal rooms with other members, those deal rooms and all associated data will also be deleted.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Howcan, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.

You retain all rights to your data and content. By using our Service, you grant us a limited license to process and analyze your content solely to provide and improve our Service.

9. Payment Terms

Certain aspects of the Service may be provided for a fee. Payment is processed securely through Stripe. You agree to:

  • Provide current, complete, and accurate billing information
  • Promptly update account information including email address and payment method
  • Accept responsibility for all charges incurred under your account

We never store your payment card details — all payment processing is handled by Stripe in compliance with PCI DSS standards. We reserve the right to change our pricing at any time. Changes will be effective at the start of your next billing cycle with 30 days' notice.

10. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Upload malicious files or attempt to exploit vulnerabilities in the Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOWCAN, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. You may delete your account at any time through your account settings (see Section 7).

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
